Required Qualifications (as evidenced by an attached resume): Juris doctor degree (or foreign equivalent) and basic experience editing, negotiating and administration of agreements (e.g., material transfer agreements, non-disclosure agreements, license agreements, facilities-use agreements, permits and leases). In lieu of a JD degree, a Bachelor's degree (foreign equivalent or higher) and two (2) years of full-time experience involving reviewing, editing, negotiation and administration of contracts (e.g., material transfer agreements, non-disclosure agreements, license agreements, facilities-use agreements, permits and leases) may be considered. Knowledge of government, university or industry contracts, or the regulations governing such contracts.
Preferred Qualifications: Two (2) years of full-time experience involving reviewing, editing, negotiation and administration of contracts (*Please note- If the applicant used years of experience to meet the in lieu of education, you will need additional years of experience to qualify) . Experience in negotiating the terms and conditions of government or New York State contracts, as well as administration thereof. Experience with Google Apps for education and data processing tools. Experience with industry-academic contracts or private-government contracts.
Brief Description of Duties: The Contracts Officer will draft, review and negotiate Economic Development contracts. This requires learning and/or comprehensive knowledge of contract law and the ability to apply such knowledge to a particular type of contract, negotiation and/or circumstance. The successful candidate will have strong organization and time management skills to manage and maintain several large dockets of agreements in a deadline driven environment, as well as the ability to learn and navigate various electronic tracking systems. They will have the ability to analyze contracts and pay close attention to detail. It is essential to be able to work within a deadline driven environment in a team structure. The successful incumbent will have excellent written and verbal communication skills. The contract officer needs to be a self-starter with a demonstrated ability to achieve results as part of a team.
Drafts, reviews, negotiates, executes and/or administers a variety of contract types, including basic science industry sponsored research agreements (SRAs), data use agreements (DUAs), material transfer agreements (MTAs), non-disclosure agreements (NDAs), facilities-use permits, commercial leases, grant and funding contracts, amendments, and other complex agreements. These contracts include local, federal, national, international, private, non-profit, public and for commercial organizations with particular emphasis on the academia-industry interaction. As a university-authorized representative, the individual will exercise independent judgement to provide guidance and interpretation of contract terms, federal, state, and local laws, and institutional policies and procedures internally to resolve issues ensure compliance, and work directly with general counsel and university administration in the process of negotiating agreements. Ensures contract terms and documentation adhere to institutional policy and practice. Provides a liaison between and among industry and academic administrative offices within Economic Development, the Office of The Vice President for Research (OVPR), the School of Medicine, faculty and incubator companies/permit holders.
Enters contract negotiations, terms and correspondence into electronic tracking and management systems. Monitors and maintains the processing and flow of agreements in the negotiation process, and generates reports regarding the same. Follows, develops, and updates established processes to ensure metrics and tracking, compliance, document harmonization, and timely execution of contracts. Work closely with Economic Development, OVPR, and university administration on understanding the function of contract compliance as well as systems and internal procedures for processing contracts.
Collaborates via phone, email and in-person meetings with investigators, industry partners, university administration and their staff on all facets contract administration, with particular emphasis on MTAs, NDAs, permits and leases, and grant contracts, and adheres to the organization's high service level agreement response times.
Support Director of Contracts and Intellectual Property's participation in Economic Development and university administration policy discussions. Reviews and implements revisions, updates and guidance related to the administration and processing of MTAs, NDAs, permits and leases, grant contracts, and other industry-academia agreements. Further assists in the development and implementation of internal contracting policies and procedures.
Represent Economic Development at campus and external meetings. Create and present presentations and informational sessions to the campus community and administration.
Other duties as assigned.
