Woods Hole Oceanographic Institution is currently searching for a Technology Licensing Associate to join the Technology Transfer Department. This is a regular, full-time, exempt position, and is eligible for benefits.
The Technology Licensing Associate will support WHOI research collaborative efforts and the marketing and licensing of WHOI innovations by ensuring accurate preparation of thorough and fair inter-institutional agreements, material transfer agreements, joint development agreements, and non-disclosure documents. The Technology Licensing Associate is the primary contact and liaison for WHOI researchers developing external contacts requiring non-disclosure agreements and/or the exchange of materials or technologies with external parties. The incumbent serves WHOI investigators by providing guidance with respect to the critical details necessary to ensure protection of investigator-developed IP within the context of external collaborative ventures. Assignments involving preparation and review of technology licenses are also within the purview of the position. Position responsibilities include agreement research and negotiation, review, and finalization.
For completed licensing agreements, the incumbent supervises licensee compliance with both financial and non-financial contractual terms of the license including management of document-tracking databases as well as royalty distribution and database management. Additional responsibilities include taking part in ongoing conversations and networking with potential licensees, contributing to technology licensing strategy, as well as advising and educating WHOI technical staff on matters related to all above-mentioned agreements.
Establish and maintain positive relationships with WHOI investigators regarding research innovations, their potential markets and associated confidentiality and IP contractual issues
Negotiate, prepare, and review of NDAs, MTAs, JDAs, and IIAs as directed by WHOI investigators
Establish and maintain relationships with company representatives with the intention of creating and/or supporting research collaborations and licensing technology rights
Work with Technology Transfer team on technology & licensing strategy
Establish and negotiate terms and conditions for option and license agreements
Assist in networking for potential licensees
Track license renewal deadlines
Manage and continually improve the license database
Manage the licensee auditing program
Monthly metrics reporting
Maintain and control version-controlled templates for NDA, MTA, SRA, licenses and other department template documents

EDUCATION & EXPERIENCE:
Bachelors Degree in related field
2-5 years of experience in a related field. Familiarity in working with contracts.
The successful candidate will have strong interpersonal skills; be an accomplished communicator both orally and in writing and written communication skills and have a demonstrated ability to develop and maintain professional relationships.
Candidates will harbor a rigorous attention to details; have excellent organizational skills, and good judgment.
Candidates will be expected to perform successfully in a detail and deadline oriented environment.
Candidates will be capable of working independently and managing multiple projects simultaneously.
Business experience and/or familiarity with NDAs, and MTAs and other contracts
Physical duties for this position include but are not limited to ability to distinguish basic colors as well as the ability to hear and respond to instructions and communicate effectively. Other physical tasks include occasional standing/walking; the nature of this job is mostly sedentary. Other occupational requirements include talking, traveling, working around others, working with others, and working alone. Prolonged work hours may be required based on project needs. Physical duties are subject to change.
